Terms of Service

These Terms of Service ("Terms") govern your access to and use of RETICLE ("RETICLE," "we," "us," or "our"), a trading-discipline and journaling platform operated by J.E. Walsh, based in Alberta, Canada. By creating an account or using RETICLE, you agree to these Terms. If you do not agree, do not use RETICLE.
Please read Sections 4–7 carefully — they describe what RETICLE is and is not, and the risks of trading.
1. Who can use RETICLE
You must be of the age of majority in your province, state, or country of residence, and legally able to enter into a binding agreement. RETICLE is intended for adults engaged in trading-related activity. You are responsible for ensuring that your use of RETICLE is lawful where you live.
2. Your account
You are responsible for the information you provide, for keeping your login credentials secure, and for all activity under your account. Notify us promptly of any unauthorized use. You may not share your account, impersonate others, or provide false information. We may suspend or terminate accounts that violate these Terms.
3. What RETICLE provides
RETICLE is a software platform for planning trades, tracking trading discipline, and journaling. Its purpose is to help you define and follow your own trading rules and to keep an honest record of your decisions and outcomes.
A future version of RETICLE is intended to let you connect your own account at a broker or proprietary-trading firm so that RETICLE can place trades — that you have planned and directed — on your own account. Where and when that feature is available, the following is fundamental to how it works and to these Terms:
RETICLE acts only on your instructions, on accounts that belong to you. You decide what to trade, which setup to use, when to enter, and when to exit. RETICLE does not make trading decisions for you, does not recommend trades, and does not exercise any discretion over your account.
4. What RETICLE is NOT (important)
To be unmistakably clear about RETICLE's role:
- RETICLE is not a broker or dealer. We do not operate a brokerage, hold a brokerage account for you, or stand between you and a market. Any brokerage or proprietary-trading-firm account you use is one you open and hold directly with that firm, under that firm's own terms.
- RETICLE is not an investment adviser, financial adviser, or portfolio manager. We do not provide investment, financial, legal, or tax advice. We do not recommend trades, securities, instruments, or strategies. Nothing in RETICLE — including setups, templates, checklists, or any output — is a recommendation or solicitation to buy or sell anything.
- RETICLE is not a custodian and never holds your money. Your funds remain with your broker or proprietary-trading firm at all times. RETICLE never takes possession or control of your funds.
- RETICLE is a software tool. Where RETICLE connects to an account you control, it functions as technology that carries out your instructions on your account. The trading decisions, and their consequences, are yours.
You are solely responsible for your trading decisions and their results.
5. Trading involves substantial risk
Trading futures and other leveraged instruments carries a high level of risk and is not suitable for everyone. You can lose some, all, or more than the funds you commit, and you may lose money rapidly. Past performance — yours or anyone else's — does not guarantee future results.
RETICLE is a discipline and record-keeping tool. It does not reduce market risk, does not improve your odds of profit, and does not protect you from losses. Using RETICLE does not make any trade safe or advisable. Any decision to trade is entirely your own, made at your own risk. You should consider seeking advice from a licensed professional before trading.
You acknowledge that you understand these risks and accept full responsibility for your trading activity.
6. Proprietary-trading-firm accounts and rules
RETICLE includes reference information about proprietary-trading firms and their rules, and lets you track your own configured rules. This information is provided for convenience and may be incomplete, out of date, or inaccurate. The firm's own current terms are always the authoritative source. It is your responsibility to know and follow the rules of any firm whose account you use. RETICLE is not responsible for any consequence of relying on catalog information, including failing an evaluation or breaching a firm's rules.
7. Affiliate links and third parties
Some links on RETICLE are affiliate links. If you click one and sign up with a proprietary-trading firm or other third party, we may earn a commission at no additional cost to you. We display these links because we believe they may be useful, not as an endorsement or recommendation, and not as advice that you should use any particular firm.
Proprietary-trading firms, brokers, and other third parties are independent of RETICLE. We do not control them and are not responsible for their services, terms, rules, or conduct. Any relationship you form with such a firm is between you and that firm. Their names, logos, and trademarks are the property of their respective owners; RETICLE is independent and is not affiliated with, endorsed by, or sponsored by any listed firm.
8. Acceptable use
You agree not to:
- Use RETICLE for any unlawful purpose or in violation of any applicable law or regulation
- Attempt to gain unauthorized access to RETICLE, other users' accounts, or our systems
- Interfere with or disrupt the platform's operation or security
- Reverse-engineer, copy, resell, or commercially exploit the platform except as permitted
- Upload malicious code or use the platform to harm others
- Misrepresent your identity or your authority to use any connected account
We may suspend or terminate access for conduct that violates these Terms or that we reasonably believe is harmful to RETICLE or others.
9. Intellectual property
RETICLE, including its software, design, content, and trademarks, is owned by J.E. Walsh and protected by applicable law. We grant you a limited, non-exclusive, non-transferable, revocable right to use RETICLE for its intended purpose, subject to these Terms. The content you create (your plans, journals, and notes) remains yours; you grant us the limited rights needed to store and display it to you and operate the service.
10. Disclaimers
RETICLE is provided "as is" and "as available," without warranties of any kind, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the platform will be uninterrupted, error-free, secure, or that any data, calculation, or catalog information is accurate or complete. To the fullest extent permitted by law, we disclaim all such warranties.
11. Limitation of liability
To the fullest extent permitted by law, RETICLE and J.E. Walsh will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, trading losses, data, or goodwill, arising out of or related to your use of (or inability to use) RETICLE — whether based on warranty, contract, tort, or any other legal theory — even if we have been advised of the possibility of such damages.
In particular, and without limiting the above, we are not liable for any trading losses or for the consequences of any trade, order, or decision, including any order placed through a connected account at your direction. To the maximum extent permitted by law, our total aggregate liability for any claim relating to RETICLE will not exceed the greater of the amount you paid us in the twelve months before the claim, or CAD $100.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you; in that case our liability is limited to the greatest extent permitted by law.
12. Indemnification
You agree to indemnify and hold harmless RETICLE and J.E. Walsh from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of RETICLE, your trading activity, your violation of these Terms, or your violation of any law or the rights of a third party.
13. Suspension and termination
You may stop using RETICLE and close your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the service. Provisions that by their nature should survive termination (including Sections 4, 5, 9, 10, 11, and 12) will survive.
14. Changes to the service and to these Terms
We may modify, suspend, or discontinue any part of RETICLE at any time. We may also update these Terms from time to time; when we make material changes we will update the "Last updated" date and, where appropriate, notify you. Your continued use of RETICLE after a change means you accept the updated Terms.
15. Governing law
These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable there, without regard to conflict-of-laws principles. You agree that the courts of Alberta, Canada will have jurisdiction over any dispute arising out of or relating to these Terms or RETICLE, subject to any non-waivable rights you have under the laws of your own jurisdiction.
